UK’s First Fully Electronic Annual General Meeting

21 July 2016

Equiniti and Jimmy Choo PLC make corporate governance history with the UK’s first electronic AGM

Equiniti, the specialist technology outsourcer, is delighted to announce that it has successfully delivered the first UK plc electronic AGM.

Jimmy Choo PLC, the British luxury brand specialising in shoes and accessories, approached their registrars Equiniti, seeking a way of increasing investor access to their annual general meeting whilst saving travel costs for investors as well as the cost to the company of hiring a venue and collecting the board in one physical location.

Jimmy Choo amended their Articles of Association in 2015 in order to facilitate the change and Equiniti delivered the company’s first electronic AGM on 15th June 2016.

Equiniti worked closely with Lumi, the global leader in real-time audience engagement technology and provider of AGM voting software, to enable the AGM voting to be both legally robust and practical across a number of electronic platforms, from Apple’s IoS and Android to desktop applications.

The AGM was much better attended than Jimmy Choo’s first physical AGM in 2015, which evidences the greater appeal and accessibility of an electronic AGM.

Guy Wakeley, CEO of Equiniti, said: “This demonstrates Equiniti is on the front foot when it comes to technology and innovation and further evidences why we are recognised as the No1 AGM team within the industry.

“It’s fantastic to be credited with not only a significant step forward in the use of technology but also a watershed moment for the standards of UK corporate governance. Use of this technology will not only lighten the burden on companies but also improve engagement with shareholders by making AGMs more accessible.”

Peter Harf, Chairman of Jimmy Choo plc, added: “We are very pleased with the outcome of this process, which achieved its aim of broadening shareholder access to our AGM in the most convenient way possible. This was in good part due to our registrars and their innovative approach to modernising the traditional AGM.”
