Accessing Your Account Online:

  1. What if I forgot my Username?
    1. Your username is the email address you used to register for access to DealTrax.
  2. How do I reset my password?
    1. Access the DealTrax link in your email.
    2. Select “Forgot Password.”
    3. Enter your email address and select “Next.”
    4. You will receive a verification code sent to your email address.
    5. Enter your verification code in DealTrax.
    6. Create a new password, then select “Next.”
    7. You will be prompted back to the login screen where you can now enter your email address and updated password.
    8. Select “Next.”

Confirming Shareholder Information:

  1. My name is incorrect; how do I change my name?
    1. On the EQ DealTrax Account Details page, under “Current Name,” select “No, it isn’t correct.”
    2. Click the link to send an email to DealTrax@equiniti.com.
    3. Within the message requesting your name be changed, please indicate if your name is spelled incorrectly or if your legal name has changed.
    4. After receiving your request, we will begin processing your name change and reply with the next steps.
  2. My address is incorrect; how do I change my address?
    1. On the EQ DealTrax Account Details page, select “No, edit address.”
    2. Enter your new address and click “Save Address Change.”
    3. The EQ DealTrax account details page will refresh with your updated address.

Submission:

  1. Why can’t I proceed to the next page?
    1. Start by checking that all the required fields have been completed on the page.
    2. If all information is accurate and complete, refresh the web page and reenter all required fields.
    3. If refreshing the web page does not work, click “Contact Us” and identify the page you cannot proceed from.
  2. How do I acknowledge a document?
    1. Click the “Acknowledge” button next to the document name.
    2. Review the document.
    3. Click the “Submit” button at the bottom.
    4. The document will now be marked as “Acknowledged.”
  3. How do I sign a document?
    1. Click the “Sign” button next to the document name.
    2. Review the document.
    3. Click “Start Signing.”
    4. Once all the fields have been signed, click the “Submit” button.
    5. The document will now be marked as “Signed.”
  4. I have certificates.  How do I submit my certificates?
    1. All certificates must be mailed to EQ.
    2. After completing your submission in the EQ DealTrax portal, physically mail the original certificates to our address for processing.

  5. How do I report a certificate as lost?
    1. After completing your submission in the EQ DealTrax portal, please contact one of our customer service representatives at DealTrax@equiniti.com to report your certificate as lost.
  6. How do I see the status of my submission?
    1. You can view your submission status on the EQ DealTrax portal upon logging in.
  7. What is the cutoff date for submitting my instructions?
    1. The cutoff date for submitting your instructions may vary depending on if the deal has a required deadline.  It is best to complete your presentation as soon as possible to ensure accurate and timely payment is disbursed to you.
  8. Can I make changes to my submission after I sign the final letter of transmittal?
    1. No, once the final letter of transmittal is signed, no changes can be made to your submission.
  9. I received an error message; what should I do?
    1. If you receive an error message, verify all information you entered is accurate and complete.
    2. If all information is accurate and complete, refresh the EQ DealTrax web page.
    3. If refreshing the EQ DealTrax web page does not work, click “Contact Us” to let us know you have received an error giving as much detail as possible.
  10. What if I do not want to sign electronically?
    1. Click “Contact Us” to send an email to an EQ representative at DealTrax@equiniti.com.

Tax and Payment Information:

  1. IRS W-9
    1. Enables you to certify your taxpayer identification number (TIN).
  2. IRS W-8BEN
    1. Enables you to certify that you are not a U.S. citizen and to certify your appropriate country to claim a reduced rate of, or exemption from, withholding, if applicable.
  3. IRS W-8BEN-E
    1. Used by foreign entities to document their status for purposes of Chapter 3 and Chapter 4.
  4. What if I don’t want to tax certify my account?
    1. If you elect to not tax certify your account, EQ is required by the IRS to withhold 24% of all reportable payments from a sale and remit directly to the IRS.  You will need to report this withholding on your federal tax return to claim a credit or refund. 
  5. Wire > $50,000
    1. One of our representatives will email you with instructions for next steps to ensure safe delivery of your funds.
  6. Where is my payment?
    1. If you submitted your presentation on EQ DealTrax, please allow for 7 to 10 business days to process and disburse your payment.

General Information:

  1. What is a Medallion Signature Guarantee?
    1. A medallion signature guarantee is a stamp from an eligible guarantor institution, such as a bank, broker, or credit union that indicates the individual signing the form is legally authorized to conduct the requested transaction.
  2. Where do I get a Medallion Signature Guarantee?
    1. We suggest contacting your guarantor institution for their document requirements to obtain the medallion signature guarantee stamp.  You will complete and sign the authorization form in their presence.  The guarantor may also require the physical certificates, a statement evidencing the account number for uncertified shares, or other applicable documents prior to affixing the medallion signature guarantee.
    2. Please note that the stamp must be legible and may not be dated or annotated.  A notary seal is not a substitute for a medallion signature guarantee.
  3.  Letter of Transmittal (available upon logging into EQ DealTrax)
    1. A legal document sent by a buyer or acquiring company to the target company’s stockholders, whereas its primary purpose is to outline the procedures for stockholders to surrender their stock certificates (or electronic shares) in exchange for the agreed-upon deal consideration.
  4. Terms & Conditions
    1. The terms and conditions lay out the agreement between the acquiring company and the target company’s stockholders.
